Have you contacted Musicmatch tech support and asked them?
I'm paranoid enough to wonder if there's some kind of "do not copy" silliness going on here.
By the way, there's a new version of Musicmatch in beta and available for download.
Also not sure if it's relevant, but have you tried Gold Wave? It handles some conversions OK, as do some of the others that folks have mentioned.
